Share Trading

Public limited Norwegian liability companies are obliged to register their shares in VPS and to maintain a register of shareholders for the company in VPS. This is a computerized bookkeeping system maintained by an independent body in which the ownership of, and all transactions relating to, Norwegian listed shares must be recorded. StepStone's share register is operated through VPS.

To carry out transactions in StepStone shares, individuals must establish a share account with a Norwegian account agent or a UK CREST member. Norwegian banks, the Bank of Norway, authorized securities brokers in Norway and Norwegian branches of credit institutions within the European Economic Area are all allowed to act as such agents.

If CREST members wish to hold or cancel some Depository Interests in the CREST system, they should contact Capita IRG Trustees Limited directly on +44 (0)20 8639 3135 for:

(1) details on how a transfer of Shares to Capita and its subsequent issue of Depository Interests (or the opposite) can be affected; and

(2) the necessary documents to be completed in order to affect such transfer.

Once the relevant documents have been completed and returned to Capita, the Depositary Interests

will be credited in the relevant CREST account of the CREST member by using a registrar’s adjustment instruction.

For shareholders in the UK who do not have a VPS or CREST account, arrangements have been made with Capita IRG Trustees Ltd (CIRGT) to provide a nominee service. CIRGT IRG is authorised and regulated by the Financial Services Authority.

Shareholders who do not have their own VPS account and whose shares are held by CIRGT must first establish a share account with a Norwegian agent or UK CREST Member as above, then instruct CIRGT to transfer the shares to the Norwegian account agent or UK CREST member before they can trade their shares. This may be uneconomic for members with very small holdings some of whom may wish to consider donating their shares to charity via the ShareGift scheme.
